Terms of Sale

Please read carefully before purchasing. These terms govern all sales of research materials.

Critical notice: Products are sold strictly for research use only. They are not for human or animal use, consumption, injection, or any form of bodily introduction. By placing an order, you certify that you meet the qualification requirements below.

1. Seller and acceptance

VialVibes is operated by APEX Research, LLC (“we,” “us,” or “Seller”). By accessing this website, placing an order, or accepting delivery of products, you (“Buyer”) agree to these Terms of Sale. If you do not agree, do not purchase or use our products.

2. Research use only

All products are intended solely for in vitro laboratory research purposes by qualified researchers in controlled laboratory settings.

  • Products are not drugs, medicines, dietary supplements, cosmetics, or food products.
  • Products are not approved by the U.S. Food and Drug Administration (FDA) for human use.
  • Products are not intended to diagnose, treat, cure, or prevent any disease.
  • Products must not be used for human or animal consumption, injection, implantation, topical application, or any other form of introduction into a living organism, except where expressly permitted by applicable law for authorized laboratory animal research under institutional oversight (and only if such use is lawful and properly authorized—Buyer remains solely responsible for compliance).

3. Buyer qualification and certifications

By purchasing, you represent and warrant that:

  • You are at least 18 years of age (or the age of majority in your jurisdiction, if higher).
  • You are a qualified researcher, laboratory professional, academic institution, or other authorized research entity.
  • You will use products only for legitimate laboratory research in accordance with applicable laws, institutional policies, and these Terms.
  • You have the knowledge, facilities, and legal authority required to handle research chemicals safely and lawfully.
  • You will not resell, redistribute, or divert products for non-research or unlawful purposes.
  • All information you provide in connection with an order is true and complete.

We may refuse, cancel, or limit any order if we reasonably believe Buyer does not meet these requirements or if products may be misused.

4. No human use; prohibited uses

Buyer agrees not to use, market, or promote products for:

  • Human consumption or administration of any kind;
  • Clinical, therapeutic, diagnostic, or cosmetic purposes;
  • Athletic performance, bodybuilding, or wellness applications in humans;
  • Any use that violates federal, state, or local law.

Violation of this section is a material breach of these Terms and may result in order cancellation, refusal of future sales, and referral to appropriate authorities where required by law.

5. All sales final

Unless required by applicable law, all sales are final. We do not accept returns, exchanges, or refunds for change of mind, ordering errors attributable to Buyer, or after products have left our control, except at our sole discretion or where a product is defective or shipped in material error due to our fault.

Any discretionary return authorization must be requested in writing within a reasonable time after delivery (not to exceed seven (7) days unless we agree otherwise) and may require unused, unopened product in original packaging. Shipping costs are generally non-refundable.

6. Pricing, orders, and payment

Prices, availability, and product descriptions are subject to change without notice. We reserve the right to correct pricing or listing errors and to cancel orders affected by such errors. Payment is due as specified at checkout or on invoice. Orders are not binding until accepted by us.

7. Shipping and risk of loss

Title and risk of loss pass to Buyer upon delivery to the carrier, unless otherwise agreed in writing. Delivery dates are estimates only. Buyer is responsible for providing accurate shipping information and for compliance with import/export and local regulations in the destination jurisdiction.

8. Product documentation

Certificates of Analysis or related lot documentation may be provided when available. Documentation availability can vary by product and lot. Analytical results, when provided, apply to the tested lot under the conditions described and are not a warranty of fitness for any particular research design. 9. No warranties; limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Buyer assumes all responsibility for safe handling, storage, use, and disposal of products and for determining suitability for Buyer’s research.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO ANY ORDER OR THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY BUYER FOR THE SPECIFIC PRODUCTS GIVING RISE TO THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

Buyer agrees to indemnify, defend, and hold harmless APEX Research, LLC, VialVibes, and their officers, members, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of Buyer’s misuse of products, breach of these Terms, or violation of law.

11. Compliance with laws

Buyer is solely responsible for ensuring that purchase, possession, and use of products comply with all applicable laws and regulations in Buyer’s jurisdiction. We may require additional verification or documentation before fulfilling orders.

12. Website tools

Calculators, combination planners, and similar tools on this site are provided for informational and research-planning convenience only. They are not medical advice, dosing guidance for human use, or a substitute for professional laboratory judgment.

13. Governing law

These Terms are governed by the laws of the United States and the state in which APEX Research, LLC maintains its principal place of business, without regard to conflict-of-law principles, except where mandatory consumer or other laws require otherwise. Disputes shall be resolved in courts of competent jurisdiction in that venue, unless the parties agree in writing to alternative dispute resolution.

14. Changes

We may update these Terms from time to time. The version posted on this page at the time of purchase applies to that order. Continued use of the site after changes constitutes acceptance of the revised Terms for future transactions.
